German Newtec takes over assets and the activities of the Benelux water disinfection company Ecodis

Newtec Umwelttechnik (“Newtec”), a German company specialised in water disinfection, acquires assets and the activities from stock listed Ecodis NV in liquidation (“Ecodis”) and reinforces its European market leadership in electrolytic water disinfection.

The water disinfection company appoints Johan Milliau as its new CEO.
SCHOTEN, 15th December 2008 – Ecodis (Alternext: ECOD), the Benelux technology company specialized in environmentally sound water disinfection has today announced that it has 
appointed Johan Milliau as Chief Executive Officer. Johan Milliau (41, engineer) takes over the duties of Carmen Cordier, who as a board member temporarily assumed the role of CEO. In his role as CEO Milliau will lead all strategic and operational activities of the company and report to the Board of Directors.
The Board has observed slower growth, a trend which could continue for some time. Restructuring took place both by immediately integrating the newly acquired A-engineering and by reducing costs and the total number of staff members.

ECODIS TAKES OVER A-ENGINEERING N.V.
SCHOTEN, 20th November 2008 – Ecodis (Alternext: ECOD), the Benelux technology company specializing in environmentally friendly water disinfection, has taken over all the shares of A-Engineering against an issue of 475,000 new stocks. In doing so Ecodis has increased its product portfolio and can from now on cooperate with the German company Newtec Umwelttechnik GmbH (“Newtec”), a leading specialist in the field of environmentally friendly water disinfection.

SCHOTEN, 28 augustus 2008 – Ecodis (Alternext: ECOD), het Antwerpse technologiebedrijf dat gespecialiseerd is in het ecologisch desinfecteren van water, maakt vandaag zijn resultaten voor het eerste semester van 2008 bekend. Terwijl de transformatie van een puur R&D bedrijf naar een commerciële onderneming in volle beweging is, wist Ecodis zijn omzet t.o.v. hetzelfde semester vorig jaar meer dan te verdubbelen. Ecodis kreeg als eerste bedrijf in Vlaanderen heel recent (4 juli 2008) de officiële erkenning van Minister van Volksgezondheid Steven Vanackere voor haar technologie als alternatieve beheersmaatregel in het kader van het legionellabesluit van 9 februari 2007. Dit is een belangrijke stap in de verdere ontwikkeling van het bedrijf.

SCHOTEN, 18 July 2008 - Ecodis, the R&D company from Antwerp, that specialises in the ecological disinfection of drinking, process and sanitary water, sees its technology as the first alternative control measure - part of the legionella decree of 9 February 2007 - recognised by the Flemish government. This means that the currently recommended 'thermal disinfection' may be replaced by the environmentally and budget friendly technology from Ecodis.

Dat zal oprichter Elmar Peters toelaten meer focus te leggen op de strategie, R&D en de technologische ontwikkelingen van Ecodis. De lange termijnwaarde van Ecodis stoelt immers op de creatie van nieuwe technologische toepassingen en diensten alsook op de snelheid waarmee het bedrijf die kan commercialiseren. Ecodis stelde onlangs vast dat op korte termijn, omwille van een aantal redenen, de omzetontwikkeling achterblijft.

11 july 2007. Results of the stabilization transactions. The overallotment option, granted to the Lead Manager regarding the public offer and listing of Ecodis shares on Alternext Brussels, was exercised in full on 13 June. In view of the stabilization program, the Lead Manager has purchased 13.258 Ecodis shares in the market during the stabilization period. All stabilization transactions were concluded at a price of EUR 5,5 per share. After the stabilization period, the public offer consists of a total number of 3.123.104 Ecodis shares. The program aime to stabilize the share price, as described in the prospectus, has been terminated on 11 July.

The IPO consisted of a total offering of 3,136,362 shares, raising a total of EUR 17.2 million. Subscriptions to the offer were closed early as the placement was oversubscribed more than 5 times. On this first trading day, the share was traded at EUR 6.0, a 9.1% rise compared to the initial reference price of EUR 5.5, bringing the market capitalisation of the company at EUR 59.3 million. Incorporated in July 2002, Ecodis (www.ecodis.eu) offers ecological alternatives to existing chemical water treatment techniques. The company developed an innovative concept to disinfect water without the addition of chemicals.

The possibility of Early Closing was included in the Prospectus. The results of the Offering and the distribution ratio will be published in the press on Friday 15 June 2007. The Listing Date on Alternext Brussels will be 15 June 2007. The payment and settlement date will be 19 June 2007.

Capital growth of 1 million euro
June 2006. Ecodis, developer of an unique technology to disinfect the incoming water of companies and institutions, has successfully concluded a financing round of 1.1 million euro. The capital was generated through new share issue and a subordinated bond loan with warrants. The capital growth was financed by existing shareholders like Hervest Participations, Ecodis Participations (syndicate of a number of private individuals), as well as by new investors among which Arcae (Family Van Rompay, Docpharma) and the investment partnership PE group, who counseled. The fresh capital has to support the international growth as well as the research of the young Flemish high-tech company. The new high profile innovations of Ecodis in the water market, are in an advanced development phase. Ecodis recently relocated to Schoten and has reinforced its sales and management team.
